1. Provider and scope of these terms
The provider is NEXX GSM SERVICE POINT S.R.L., trading as NEXX GSM, CUI 53879866, Romanian Trade Register J2026009188000. Registered office: Calea Moșilor, no. 158, floor 4, room 4 M586, Sector 2, Bucharest, Romania. Workshop: Calea Șerban Vodă 43, Sector 4, Bucharest, Romania. Contact for orders, withdrawal and complaints: [email protected]; telephone/WhatsApp +40 758 117 409.
These terms concern only our online, code-based Dell Admin BIOS recovery service for an Admin password requested when opening BIOS Setup and changing BIOS settings. They supplement the General Terms. If the two conflict on this service, these specific terms apply, without limiting mandatory consumer rights. System/power-on, HDD/SSD, Windows and BitLocker passwords, workshop repair, physical parts and data-recovery services are separate and are not included in this order.
2. What you order
You order an individual recovery password and instructions for the complete System Number and Admin BIOS protection agreed in your order. The result is delivered electronically; no physical goods are shipped. The order is not merely a paid suffix lookup.
The recovery code is calculated using software developed by NEXX GSM. You receive the result for the agreed device code and instructions. This order does not include delivery of the software or its source code, or a licence to use the software itself.
The service does not include Windows or cloud-account passwords, BitLocker or other encryption keys, HDD/SSD passwords, access to user files, removal of organisation-management or anti-theft controls, or a transfer of registered ownership. It is not a repair of faulty hardware or corrupted firmware. NEXX is independent and is not affiliated with, endorsed by or authorised as a Dell service provider under this offer. Dell names identify device compatibility only.
3. Who may order
You must have legal capacity to enter into this contract or act through a duly authorised legal representative.
You must own the device and be entitled to authorise the requested change, or have written permission from the person or organisation entitled to authorise it. Possessing a laptop, knowing its serial number or paying for this order does not by itself establish that permission. For a company, school, leased or managed device, obtain the responsible owner's or organisation's authorisation first. A repair business must retain its customer's authorisation identifying the device and the permitted work.
Do not submit requests for lost or stolen devices, to evade someone else's management rights or to obtain unauthorised access to systems or data. Do not submit false information or use another person's payment method without permission. This agreement does not grant rights over another person's data, accounts or device.
We may request proportionate evidence, such as a purchase/service document or an authorisation identifying the device. You may redact unrelated information. We pause delivery where the information gives reasonable grounds to doubt authorisation; if the doubt cannot be resolved, we decline or cancel the service. Cancellation is not an automatic forfeiture of your payment: refunds and any permitted charge for work actually performed are handled under sections 7–8 and applicable law.
4. Compatibility and your information
Use the complete System Number from the relevant password screen, including its suffix. A recognised suffix or displayed price is a preliminary compatibility indication, not a live test of your laptop. A code family can appear with different protections. If the screen refers to a drive password, a different protection, or Master Password Lockout, ask us to review it before ordering.
Check the code, delivery address and order summary before payment. Tell us promptly about an error. We will explain whether a correction can be made before carrying out additional paid work. A wrong code does not automatically remove statutory rights or authorise an undisclosed charge.
5. Price, order and confirmation
The final total, currency, applicable taxes, delivery method and agreed delivery period must be stated before you commit to pay. The website's card/PayPal option charges in EUR. Any currency conversion by your payment provider is governed by the terms shown by that provider. There is no subscription or undisclosed delivery charge for this online order. Additional work requires your separate agreement.
Checking a code or creating an unpaid payment request is not a paid order. The contract is concluded when NEXX accepts your paid order and sends the contract confirmation. A payment-provider receipt alone is not our acceptance. If we cannot accept an order for which money was collected, we refund it without undue delay. We provide a confirmation containing the order details, the accepted terms and your recorded choices in a form you can save before starting the service.
6. Delivery and completion
For website card/PayPal orders with early performance requested, we deliver the recovery password and instructions to the supplied email within 6 hours after payment. These are elapsed hours, not working hours. If you prefer not to request early performance, contact us before paying to agree a later start and delivery date. Orders made directly in a bot have their own checkout; these website consents do not constitute consent in that bot.
If clarification is needed or a delay occurs, we contact you with the reason and a proposed revised date. There is no unlimited automatic extension. Your rights for non-delivery remain available. If we cannot provide the contracted result, we notify you and return the price for the unprovided service.
A payment receipt, compatibility response, invalid code or a file unrelated to your agreed order does not constitute full performance. Delivering the agreed valid recovery result and instructions completes the contracted service; rights concerning a defective or non-conforming result remain unaffected.
7. Withdrawal from a distance contract
If you are a consumer with a statutory right of withdrawal, you normally have 14 days from conclusion of this service contract to withdraw without giving a reason. Any longer period required by applicable law remains available. Send a clear statement to [email protected], to our registered office, or through the site's withdrawal function. You may use the form below, but it is not compulsory. Sending your statement within the applicable period is sufficient.
Starting work during that period requires your separate express request. The right of withdrawal is lost only once the service has been fully performed, and only if you expressly requested early performance and acknowledged beforehand that full performance would end that right. Payment, opening an email or accepting general terms alone does not do so.
If you withdraw before full performance after properly requesting early performance, only a proportionate amount for the service actually supplied may be payable where the law permits and the required information was provided. No flat cancellation penalty applies. Where the required consent or information is missing, we do not rely on an early-performance deduction or an invalid waiver.
Refunds due following statutory withdrawal are made without undue delay and no later than 14 days after we receive the withdrawal statement, using the original payment method unless you expressly agree otherwise without additional cost. Refusing early performance does not mean you must give up your right of withdrawal: contact us to arrange a later start before ordering.
8. A result that does not work, cancellation and refunds
Contact [email protected] with your order reference and a description. We may request a photo limited to the relevant password/error screen or other reasonable evidence. Do not send user files, operating-system passwords or encryption keys. We offer an alternative way to explain the issue if a photo is not practical.
We assess the agreed code, protection type, instructions and reported fault, then provide the remedy required by law, which may include correction or repeat performance at no charge, a proportionate price reduction, termination and refund. We do not treat delivery of an unusable result as successful completion or make a review/rating, withdrawal of a complaint, or a blanket waiver a condition of a remedy. Payment-provider dispute rights are not excluded. A duplicate charge is not a second order unless separately authorised.
Expiry or valid loss of a cooling-off right does not remove rights relating to non-performance or non-conformity. A correct result is not automatically refundable simply because it was not used after the right of withdrawal has lawfully ended; mandatory rights always prevail.
9. Device use, data and responsibility
As part of this online service, NEXX does not connect to the laptop or read, copy, extract or decrypt its user files. Recovering BIOS control is nevertheless a security-sensitive change: allowing a device to boot or use other boot media can make unencrypted data accessible to the person operating it. Recovery does not give that person permission to access another person's data, and does not provide missing encryption keys.
Follow the instructions and change only settings you understand. Where possible, back up important data and retain your own encryption recovery keys before changing firmware settings. Firmware-setting changes can affect booting or trigger an encryption-recovery prompt. Do not share those keys with us. These precautions are not an exclusion of NEXX's legal responsibility.
Each party is responsible for its own breaches and the consequences attributable to them under applicable law. We do not exclude or cap liability that cannot lawfully be excluded or capped, or remove statutory consumer remedies. You are not automatically required to indemnify NEXX for every third-party claim. Unrelated hardware, software or later third-party changes are outside the contracted task, but their existence alone does not defeat a justified complaint about our service.
10. Information and confidentiality
We use the submitted code and service information to assess and perform the request, prevent misuse, handle complaints and meet legal obligations. Code checks are recorded before payment, as explained next to the checker and in the Privacy Policy. Payment and support providers receive the information needed for their functions. See the Privacy Policy for recipients, retention criteria, international transfers and your rights.
Provide only necessary information and redact unrelated material. We do not request access to user files as proof of ownership. We do not publish your code, authorisation documents or case details for marketing without a separate lawful basis. We may preserve or disclose limited records when lawfully required or justified for establishing, exercising or defending legal claims.
11. Questions and disputes
Write to [email protected] with a description and an order reference if available. Missing an order reference does not automatically invalidate a complaint or withdrawal. We explain the proposed resolution and any further information reasonably needed. Contacting us first is helpful but does not restrict your access to a court, payment provider or competent authority.
Consumers may contact ANPC and consult its voluntary alternative dispute-resolution procedure at https://anpc.ro/sal/, subject to its eligibility rules. These terms do not impose binding arbitration or require consumers to litigate exclusively in Bucharest.
12. Applicable law, languages and versions
Romanian law governs the contract, without depriving consumers of mandatory protection or jurisdiction rights available under applicable law, including those of their habitual residence where applicable. Website availability in a country is not a promise that every requested service can lawfully be provided there. We may decline an order where legal restrictions prevent performance.
Keep the language version supplied with your confirmation. Ambiguities are interpreted under applicable law, including rules protecting consumers; a translation does not silently remove a right. Updated terms apply to future orders, not retroactively to your existing contract. If a provision is unenforceable, the applicable legal rule and the remaining valid contract continue to apply.
